For much of the industry's recent growth cycle, operators relied on venture capital, public equity offerings, convertible notes, and secondary share issuances to finance GPU purchases, data center construction, and international expansion. Those funding sources remain important, but they are no longer the only option.

Recent transactions involving Nebius, General Compute, and IREN suggest lenders are becoming increasingly comfortable underwriting AI infrastructure using contracted revenues, deployed GPU assets, customer prepayments, and long-term cloud agreements. Rather than viewing AI infrastructure as speculative technology, capital providers are beginning to evaluate it through the lens traditionally reserved for infrastructure assets with predictable cash flows.

That distinction matters. Debt financing lowers the cost of capital, reduces shareholder dilution, and gives operators greater flexibility to scale capacity as customer demand accelerates. The facility is backed by deployed GPU infrastructure and contracted cash flows from an investment-grade customer, allowing Nebius to finance expansion without relying exclusively on additional equity issuance. The financing is priced at SOFR + 2.50% and extends through 2030, illustrating lender confidence in the underlying assets and revenue profile.

Perhaps the most significant aspect is management's description of the facility as a repeatable financing frameworkcapable of supporting future customer commitments. That signals a move away from one-off funding events toward scalable infrastructure finance.

For institutional investors, this is an important development. Debt backed by operating assets and contracted revenues is fundamentally different from financing based primarily on projected growth.

Customer contracts are becoming financeable assets

Revenue quality is beginning to matter as much as revenue growth.

These characteristics resemble the contractual structures that have historically supported project finance across other infrastructure sectors.

Debt is replacing dilution
